1) Eligibility; Account Registration

  • You must be able to form a binding contract and comply with applicable laws.
  • You must provide accurate registration information and keep it updated (e.g., name, email, phone).
  • You are responsible for all activity under your account and for safeguarding credentials.
  • Teams: If you are invited to or create a team (tenant), you acknowledge that team administrators may manage team settings, billing, and member access.

2) Subscriptions, Trials, Billing, and Taxes

  • Payments are processed by Stripe. By subscribing, you authorize recurring charges to your payment method.
  • Trials: Where shown in-app, we may offer a trial period (e.g., 15 days). After a trial ends, the subscription auto‑renews unless canceled before the end of the trial.
  • Billing Cycles & Renewals: Subscriptions renew automatically until canceled. You can manage or cancel within the dashboard’s billing settings.
  • Refunds: Unless required by law, fees are non‑refundable. Partial periods are not prorated.
  • Taxes: You are responsible for any applicable taxes, duties, or government charges.

3) Third‑Party Services and Integrations

The Service may integrate with third‑party services (e.g., Spotify OAuth authorization, Facebook via Socialite). When you connect a third‑party account, you authorize Tripsittr to access and process information made available via that integration according to the scopes you grant. Your use of third‑party services is governed by their terms and policies. We are not responsible for third‑party services or changes they make to features or APIs.

4) Content; License; Responsibility

  • “Content” includes data you or your team input into the Service (e.g., songs, albums, events, descriptions, links) and any materials generated within the Service.
  • You (or your licensors) retain ownership of your Content. You grant Tripsittr a worldwide, non‑exclusive, royalty‑free license to host, store, transmit, display, and process the Content solely to provide, maintain, secure, and improve the Service.
  • You are solely responsible for your Content and represent that you have all necessary rights to submit and use it in the Service.
  • We may remove or disable access to Content that we reasonably believe violates these Terms or the law.

5) Acceptable Use

You agree not to:

  • Violate laws or infringe intellectual property, privacy, or other rights.
  • Upload or link to malicious code, perform unauthorized scanning, probing, or reverse engineering.
  • Access accounts or data without permission, or circumvent technical controls.
  • Use scraping, bulk data extraction, or automated means that degrade Service performance.
  • Misrepresent identity, impersonate others, or submit misleading or deceptive Content.
  • Use the Service to store or transmit Sensitive Personal Data unless required for the Service and permitted by law.

6) Teams, Roles, and Administration

  • Team owners/administrators may invite members, assign roles, and manage permissions.
  • By joining a team, you acknowledge that your information and in‑team activity may be visible to other members with appropriate permissions.
  • Team owners are responsible for team billing, member management, and compliance with these Terms.

7) Privacy and Security

  • We process personal data as described in our Privacy Policy. Please review it to understand our practices.
  • We implement reasonable administrative, technical, and physical safeguards to protect the Service; however, no system is perfectly secure. You use the Service at your own risk.
  • OAuth tokens and access credentials for third‑party integrations are stored and used only to provide the integration you enable.

8) Intellectual Property

  • The Service, including its software, design, and trademarks, is owned by or licensed to Tripsittr and protected by law.
  • Except as expressly allowed, you may not copy, modify, distribute, host, or create derivative works of the Service.

9) Feedback

If you provide feedback or suggestions, you grant Tripsittr a perpetual, irrevocable, worldwide, royalty‑free license to use and exploit that feedback without restriction or compensation.

10) Service Changes; Availability

  • We may modify or discontinue features at any time, including beta or experimental features.
  • Maintenance windows and outages may occur. We strive for reliability but make no uptime guarantees unless separately agreed in writing.

11) Suspension and Termination

  • We may suspend or terminate access if you violate these Terms, pose a security risk, or cause harm to others.
  • You may terminate by canceling your subscription and discontinuing use. Upon termination, your access ends, but certain provisions survive (e.g., IP, disclaimers, limitation of liability).

12) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR‑FREE, SECURE, OR UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED.

13) Limitation of Liability

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO TRIPSITTR FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

14) Indemnification

You agree to defend, indemnify, and hold harmless Tripsittr and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your Content, your use of the Service, or your violation of these Terms or applicable law.

15) Governing Law; Venue

These Terms are governed by the laws of the jurisdiction in which Tripsittr is organized, without regard to conflict‑of‑laws principles. You agree to the exclusive jurisdiction and venue of the courts located there, unless applicable law requires otherwise.

16) Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms and updating the “Last updated” date. Your continued use of the Service after changes become effective constitutes acceptance.
